Terms of Service

Thank you for using Ubikas. Please read this Terms of Service agreement carefully before using the Service. Because it is an important contract between us and the people who use Ubikas, we have tried to make it as clear as possible: below you will find a short, non-binding summary, followed by the full terms.

A. Definitions

Short version: We use these basic terms throughout the agreement, and they have specific meanings. You should know what we mean when we use each of them.

  • "Account" represents your legal relationship with Ubikas. It is your authorization to sign in to and use the Service, and it serves as your identity on Ubikas.
  • "Agreement" refers, collectively, to all the terms, conditions and notices contained or referenced in this document (the "Terms of Service" or the "Terms") and all other operating rules and policies we publish on the Website, including the Privacy Statement.
  • "Campus Data" means the places, buildings, floors, routes, schedules, accessibility details and other campus information made available through the Service, whether surveyed by us on the ground, contributed by Users, published by an Institution, or derived from open map data.
  • "Institution" means a university, college or other organization that has entered into a separate written agreement with us to deploy Ubikas on its campuses.
  • "Ubikas", "we" and "us" refer to Ubikas SpA, RUT 78.364.498-3, a company incorporated in Chile with registered offices at Dublé Almeyda 2621, Santiago, as well as its directors, contractors, agents and employees.
  • "Service" refers to the applications, software, products and services provided by Ubikas, including the mobile app, the Website and the operations dashboard.
  • "User", "you" and "your" refer to the individual person or organization using the Website or the Service. A User must be at least 14 years of age.
  • "Your Content" means Content that you upload, submit or create through the Service, including places, photographs, descriptions, schedules and accessibility details.
  • "Website" refers to the Ubikas website at ubikas.app and Ubikas-owned subdomains.

B. Account Terms

Short version: You must be 14 or over, a human must create your Account, and you must provide a valid email address. You alone are responsible for your Account and anything that happens while you are signed in to it.

1. Account Requirements. We have a few simple rules for Accounts.

  • You must be a human to create an Account. Accounts registered by bots or other automated methods are not permitted.
  • You must be age 14 or older. We do not collect a date of birth and therefore cannot verify your age; we rely on your representation. If we learn of a User under 14 without a guardian's consent, we will terminate that Account. If your country's minimum age is higher, you are responsible for complying with your country's laws.
  • Your login may only be used by one person. A single login may not be shared.
  • An Institution may impose additional requirements on who may join its campuses. Those requirements apply in addition to ours.

2. Required Information. You sign in through WorkOS, our identity provider, and must provide a valid email address to complete the process. Any other information, such as your name, is optional.

3. Account Security. You are responsible for keeping your Account secure while you use the Service. You are responsible for all activity that occurs under your Account, and Ubikas cannot and will not be liable for any loss or damage arising from your failure to keep it secure. Please notify us promptly at security@ubikas.app if you become aware of any unauthorized use of your Account.

4. Additional Terms. In some situations third parties' terms may apply to your use of Ubikas — for example, you may be a member of an Institution with its own policies. While these Terms are our full agreement with you, other parties' terms govern their relationships with you.

C. Acceptable Use

Short version: Ubikas works because the people on a campus keep it accurate for each other. That only holds when Users act in good faith. This section sets out the restrictions on what you post and how you use the Service.

Your use of the Website and the Service must not violate any applicable laws. You are responsible for making sure your use of the Service complies with the law and any applicable regulations.

You agree that you will not do any of the following for any purpose, whether commercial or noncommercial, including research, education, personal projects, or AI training:

  • extract, copy, scrape or reuse a substantial part of the Campus Data — including by the repeated or systematic extraction of insubstantial parts — or redistribute or resell it, except for the base map data and only as the Open Database License permits;
  • circumvent rate limits, bot checks or session quotas, or access the Service by automated means without our prior written permission;
  • submit false reports, spam, or Content intended to mislead people about a place;
  • upload Content that is unlawful, harassing, or that infringes the rights of others;
  • attempt to access data belonging to another User, or to an Institution with which you are not affiliated; or
  • probe, scan or attack the Service. If you are conducting security research, our Coordinated Disclosure of Security Vulnerabilities policy explains how to do so safely.

Ubikas is not a means of reporting an emergency. In an emergency, contact your campus emergency number or the local emergency services.

D. User-Generated Content

Short version: You own the Content you create, but you allow us certain rights to it so that we can display it on the campus map. You keep control of it and responsibility for it, and the rights you grant us are limited to those we need to provide the Service. We may remove Content or close Accounts if we need to.

1. Responsibility for Your Content. You are responsible for Your Content and for any harm resulting from it. When you submit Content, you represent that it is yours to submit or that you have permission to submit it, that it does not identify people who have not agreed to appear, and that it is accurate as far as you know.

2. Ownership and License Grant to Us. You own Your Content. You grant Ubikas a non-exclusive, worldwide, royalty-free license to store, host, parse, display, reproduce and adapt Your Content as necessary to provide the Service — including resizing and re-encoding photographs, indexing text for search, and showing Your Content to other Users on the campus map. You will not receive payment for these rights. This license ends when Your Content is removed from the Service.

3. License Grant to Other Users. Content you submit to a campus may be viewed by other Users of that campus and, where the Institution publishes its map publicly, by the public. You grant those Users a non-exclusive license to view and use Your Content through the Service's functionality.

4. Ubikas May Remove Content. Submissions pass through a moderation queue. We may refuse, edit, or remove Content that violates applicable law or these Terms, and we are not obliged to explain every moderation decision.

5. Content After Account Closure. Content of yours that is already published stays published after you close your Account, attributed to an anonymised Account rather than to your name. What deletion does in the Privacy Statement sets this out precisely, and you may ask us to take specific contributions down.

E. Campus Data and Navigation

Short version: Ubikas shows you where things are. It does not guarantee that you can get there. Maps, routes and accessibility details are informational, they come from people and change often, and you should not rely on them where being wrong would be costly.

Campus Data is provided for information only. It does not replace official campus signage, instructions from staff, or emergency procedures.

  • Accessibility information — ramps, lifts, step-free routes — is contributed by Users and by campus teams. It can be incorrect, out of date, or temporarily untrue during building works. Verify it before relying on it for a journey you cannot reverse.
  • Opening hours, closures and events change faster than the Service can record them. Confirm with the place itself when it matters.
  • Routes and indoor directions are suggestions. Do not follow one into an area that appears unsafe or restricted.
  • Do not use the Service while driving, cycling, or in any situation requiring your full attention.

To the extent permitted by law, we accept no liability for loss arising from reliance on Campus Data. Section M sets out the limits on our liability in full.

F. Institutional Accounts

Short version: If you use Ubikas through your university or college, a separate agreement between us and that Institution also applies, and its administrators can see some of your activity on their campuses.

Institutions use Ubikas under a separate written agreement. That agreement governs the relationship between us and the Institution, including which Campus Data it publishes and what its administrators can see about activity on its campuses. The Privacy Statement explains what that means for your Personal Data.

Where that agreement and these Terms conflict, the agreement governs for the Institution. These Terms continue to govern your own use of the Service.

If your affiliation with an Institution ends, or if the Institution ends its agreement with us, your access to that Institution's campuses may end with it.

G. Intellectual Property Notice

Short version: We own the Service and the campus dataset we build. You own what you contribute. Institutions own what they publish. The base map is OpenStreetMap's, under its own license.

1. Our Rights. Ubikas — the software, the design, the name and the logo — is owned by us and protected by copyright and trademark law. These Terms do not grant you a license to any of it beyond using the Service as intended.

2. The Campus Data We Survey. Most of the Campus Data in Ubikas is collected by us: our team walks a campus and records what is there. We claim no ownership of the underlying facts. That a building stands in a particular place, or that a cafeteria is on a particular floor, is not something anyone owns, and you are free to go and observe it for yourself. What we own is the work built on those facts — the selection, structure and arrangement of the dataset as a whole, together with the descriptions, categories, aliases, accessibility assessments, floor and route modeling and photography we create. These are protected as a compilation and as original material under Chilean copyright law and its equivalents elsewhere.

3. Content You Contribute. You keep ownership of Your Content. Section D sets out the license you grant us so that we can display it.

4. Campus Data an Institution Publishes. Campus Data that an Institution publishes through the operations dashboard remains that Institution's, licensed to us under our written agreement with it, and that agreement governs what happens to it if the agreement ends. It does not extend to, and its ending does not affect, the Campus Data we collected independently.

5. Open Map Data. The base map is derived from OpenStreetMap and made available under the Open Database License (ODbL), whose terms we follow, including attribution. We hold it as a database separate from our own Campus Data: the two are displayed together but not merged, so the ODbL governs the base map and not the dataset we survey.

6. Open-Source Components. Ubikas is built on open-source software, which remains subject to its own licenses. Write to legal@ubikas.app if you would like the current list.

7. No Endorsement. Ubikas is independent. We map campuses because students ask us to, and a campus can appear in Ubikas without its university or college being involved. We use institution and campus names descriptively, to identify places. Appearing in Ubikas does not mean an institution sponsors, endorses or is affiliated with us unless we say so explicitly. If you represent an institution and want something corrected or removed, write to legal@ubikas.app.

H. Privacy

Short version: Our Privacy Statement explains what Personal Data we collect and why. It is part of this agreement.

The Privacy Statement is incorporated into this Agreement by reference. It describes the Personal Data we collect, the purposes we process it for, the lawful bases we rely on, who we share it with, and the rights available to you.

You can withdraw location consent, close your Account, and delete your data from Privacy settings in the app at any time.

I. Availability and Updates

Short version: The student app is free, it updates itself, and we make no promises about uptime or about any feature staying around.

The Ubikas app is provided free of charge to students, staff and visitors. We do not promise uptime, a particular set of features, or that any feature will remain available. We may modify, suspend or discontinue any part of the Service at any time, with or without notice. Where we can, we will give reasonable notice before withdrawing something people depend on.

The app updates itself over the air, which means its behavior can change without a new app store release. Your continued use of the app after an update constitutes acceptance of the version you are running.

J. Cancellation and Termination

Short version: You may close your Account at any time. If you do, we will handle your information as described in the Privacy Statement.

1. Account Cancellation. You may delete your data and close your Account at any time from Privacy settings in the app. It takes effect immediately, with no questions asked. It is also permanent: we keep a one-way hash of your email address so that the deleted Account cannot be recreated, which means the same address cannot open a new Account afterwards. 2. Ubikas May Terminate. We may suspend or terminate your access to all or any part of the Service at any time, with or without cause and with or without notice. In practice we aim to match the response to the conduct — a warning, a restriction, a suspension, or a ban — and to tell you why. Conduct involving safety, unlawful Content or attacks on the Service may be acted on immediately.

3. Survival. All provisions of this Agreement which by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity and limitations of liability.

K. Communications with Ubikas

Short version: We use email and in-app messages to stay in touch. We do not offer phone support, and legal notice has to be in writing.

1. Electronic Communication. For contractual purposes, you consent to receive communications from us electronically, at the email address associated with your Account or through the Service, and you agree that notices and disclosures provided electronically satisfy any legal requirement that they be in writing. This does not affect your non-waivable rights.

2. Legal Notice. Legal notice to Ubikas must be in writing and sent to legal@ubikas.app. Messages sent through other channels do not constitute legal notice.

3. No Phone Support. We offer support by electronic means only.

L. Disclaimer of Warranties

Short version: We provide the Service as is, and we make no promises or guarantees about it. Please read this section carefully; you should understand what to expect.

Ubikas provides the Website and the Service "as is" and "as available", without warranty of any kind. Without limiting this, we expressly disclaim all warranties, whether express, implied or statutory, including any warranty of merchantability, fitness for a particular purpose, title, security, accuracy and non-infringement.

We do not warrant that the Service will meet your requirements; that it will be uninterrupted, timely, secure or error-free; that Campus Data is accurate, reliable, current or complete; that defects will be corrected; or that the Service will be available at any particular time or place. You assume full responsibility and risk of loss resulting from your use of the Service and of any information obtained through it.

Nothing in this section removes rights that cannot be removed under applicable law, including your rights as a consumer under Chilean Ley 19.496.

M. Limitation of Liability

Short version: We will not be liable for damages or losses arising from your use of, or inability to use, the Service. Please read this section carefully; it limits our obligations to you.

You understand and agree that we will not be liable to you or to any third party for any loss of profits, use, goodwill or data, or for any incidental, indirect, special, consequential or exemplary damages, however arising, that result from:

  • your use of, or inability to use, the Service;
  • your reliance on Campus Data, including map, route, schedule or accessibility information;
  • the use, disclosure or display of Your Content;
  • any modification, suspension or discontinuance of the Service;
  • unauthorized access to or alteration of your transmissions or data;
  • statements or conduct of any third party on the Service; or
  • any other matter relating to the Service.

Our liability is limited whether or not we have been advised of the possibility of such damages, and even if a remedy set out in this Agreement is found to have failed of its essential purpose. Where liability cannot be excluded, it is limited to the amount you paid us for the Service in the twelve months preceding the claim — which, for the free student app, is nothing.

This section does not limit liability for fraud, wilful misconduct, death or personal injury caused by our negligence, or any other liability that Chilean law does not permit us to limit.

N. Changes to These Terms

Short version: We want you to be informed of important changes, but some changes are not that important — we do not want to bother you every time we fix a typo. So while we may modify this agreement at any time, we will notify you of material changes and give you time to adjust.

We reserve the right, at our sole discretion, to amend these Terms at any time. We will notify Users of material changes at least 30 days before they take effect, by posting a notice on the Website, in the app, or by email to the address associated with your Account. Your continued use of the Service after that period constitutes agreement to the revised Terms. For other modifications, your continued use of the Website constitutes agreement to the revision.

The effective date at the top of this page changes whenever these Terms are amended. If you do not agree with a revision, you may close your Account.

O. Miscellaneous

1. Governing Law. Except to the extent applicable law provides otherwise, this Agreement and any access to or use of the Service are governed by the laws of the Republic of Chile, without regard to conflict of law provisions. You and Ubikas agree to submit to the jurisdiction of the ordinary courts of Santiago, Chile. If you are a consumer, this does not remove your right to bring a claim where you live, or to raise the matter with SERNAC.

2. Section Headings and Summaries. Throughout this Agreement each section includes a title and a brief summary of the terms that follow. These titles and summaries are not legally binding; the operative text beneath them is.

3. Severability, No Waiver, and Survival. If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties' original intent and the remaining portions will remain in full force. Any failure by us to enforce a provision is not a waiver of our right to do so later.

4. Non-Assignability. We may assign or delegate these Terms, in whole or in part, to any person or entity at any time with or without your consent. You may not assign or delegate any rights or obligations under these Terms without our prior written consent, and any unauthorized assignment is void.

5. Complete Agreement. These Terms, together with the Privacy Statement, are the complete and exclusive statement of the agreement between us, superseding any prior proposals or communications.
